These Terms of Service ("Terms") govern your use of dArkiv, a macOS desktop application ("the Software"), developed and published by dArkiv ("we", "us", "our"). By purchasing, downloading, installing, or using the Software, you agree to be bound by these Terms.

1. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to install and use dArkiv on any Mac computers that you personally own or control. This is a one-time purchase — no subscription is required.

The license is for personal or professional use by a single individual. You may not redistribute, sublicense, or share your license key with others.

2. Free Trial

dArkiv offers a 7-day free trial. During the trial period, you have full access to all features. No credit card or account registration is required to start the trial. After the trial expires, a license key is required to continue using the Software.

3. Payment and Pricing

dArkiv is sold as a one-time purchase. All payments are processed by Paddle.com, who acts as our Merchant of Record. Paddle handles all billing, tax calculation, VAT, and payment processing. By completing a purchase, you also agree to Paddle's Terms of Use and Privacy Policy.

Prices may change at any time, but changes will not affect existing license holders.

4. Permitted Use

You may:

  • Install and use dArkiv on multiple Mac computers that you own
  • Use dArkiv for personal and commercial purposes
  • Make backup copies of the Software for archival purposes

5. Restrictions

You may not:

  • Redistribute, resell, lease, or sublicense the Software or your license key
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or modify any copyright notices or proprietary markings
  • Use the Software for any unlawful purpose or in violation of applicable laws
  • Share your license key publicly or with unauthorized third parties
  • Use the Software to capture content in violation of others' privacy rights or applicable wiretapping/recording laws

6. Privacy and Data

dArkiv is designed as a local-first application. All captured data (screen text, clipboard content, audio recordings, transcripts) is stored exclusively on your Mac. We do not collect, transmit, or have access to any of your data. For full details, please review our Privacy Policy.

If you choose to use a third-party AI provider (Claude by Anthropic, or OpenAI), data sent to those services is subject to their respective privacy policies. Using the local Ollama provider keeps all AI processing on your device.

7. User Responsibilities

You are solely responsible for:

  • Complying with all applicable laws regarding screen capture, audio recording, and data collection in your jurisdiction
  • Obtaining any required consent before recording meetings or conversations
  • Securing your device and encryption password — we cannot recover your data if you forget your password
  • Backing up your data — we are not responsible for data loss

8. Intellectual Property

dArkiv, including its code, design, and documentation, is the intellectual property of dArkiv and is protected by copyright law. Your purchase grants a license to use the Software; it does not transfer ownership of any intellectual property.

9. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall dArkiv or its developer be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use the Software, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the Software.

11. Updates

We may release updates to the Software from time to time. Updates may include bug fixes, new features, or security patches. Your license entitles you to all updates for the current major version. We are not obligated to provide updates indefinitely.

12. Termination

Your license remains valid indefinitely as long as you comply with these Terms. We may terminate your license if you violate these Terms. Upon termination, you must cease using the Software and delete all copies.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Last updated" date. Continued use of the Software after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
